Terms of Service
1. Acceptance of Terms
By downloading, installing, or using the GenCut plugin ("GenCut", "the Plugin", or "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use GenCut.
These Terms constitute a legally binding agreement between you ("User") and Green Productions Ltd. ("Company", "we", "us", or "our"), the developer and operator of GenCut.
2. Description of Service
GenCut is a plugin for Blackmagic Design DaVinci Resolve that enables AI-powered image and video generation directly within the video editing workflow. GenCut operates as an intermediary platform: it routes your generation requests to third-party AI providers and returns the results to your local editing environment.
The Service includes:
A plugin installed locally within DaVinci Resolve
Access to AI image and video generation via supported third-party providers (currently: BytePlus ModelArk, Google Generative AI, and Kling AI)
A cloud-based proxy server operated by The Company. handling authentication, credit management, and API routing
A web-based review interface served locally for reviewing generated content
3. User Accounts and Authentication
3.1 Account Creation
Access to GenCut requires authentication via Google OAuth through our Supabase-based authentication system. By signing in, you agree to provide accurate account information and to keep your credentials secure.
3.2 Alpha / Beta Access
GenCut is currently in an alpha and/or beta phase. The Service may be incomplete, contain errors, or be subject to changes, interruptions or limited availability. Access may be restricted to an approved email allowlist, and may be granted, modified, or revoked at any time at the Company’s discretion.
3.3 Account Responsibility
You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. You must notify us immediately if you suspect any unauthorized use of your account. You must notify us immediately if you suspect unauthorized use of your account.
4. Credits (GenCoins)
4.1 Credit System
GenCut uses a virtual credit system called "GenCoins" (GC). Credits are required to perform generation tasks through the Service, including image generation, video generation, and prompt enhancement.
4.2 Credit Deduction and Refunds
Credits are deducted before an API generation call is made. In the event of a generation failure attributable to our proxy server, credits will be refunded. Credits are NOT refunded in the following circumstances:
Generation failures caused by the third-party AI provider (BytePlus, Google, Kling)
Results the user deems unsatisfactory in quality or style
User-initiated cancellations after the generation call has been sent
Requests rejected by a provider's content moderation system
By using the Service, you acknowledge that third-party provider failures are outside our control and do not entitle you to a credit refund.
4.3 Purchasing Credits
All credit purchases are final and non-refundable, except as required by applicable law. Credits have no cash value and cannot be transferred between accounts.
4.4 Expiration
GenCoins do not expire as long as your account remains active. We reserve the right to introduce expiration policies with reasonable advance notice.
5. Third-Party AI Providers — Critical Terms
GenCut integrates with the following third-party AI generation providers. Your use of GenCut involves transmitting your prompts to these providers. Each provider has its own terms of service, acceptable use policies, and data practices that apply to your use of GenCut. By using GenCut, you agree that your use of the Service is subject to, and you shall comply with, the applicable terms of each third-party provider and that you are responsible for reviewing such terms prior to using any third-party provider through the Service.
5.1 BytePlus ModelArk (Seedream / Seedance)
Provider: BytePlus Pte. Ltd., Singapore. Applicable to: Seedream image generation and Seedance video generation.
Key terms you must be aware of:
BytePlus grants itself a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use data you submit through their API for purposes related to operating their service. This includes prompts you send via GenCut.
You must not submit confidential, proprietary, or sensitive business information as prompts when using BytePlus-powered models.
You must not attempt to use BytePlus services to create commercial offerings that compete directly with BytePlus.
BytePlus may suspend or terminate API access unilaterally, which would affect GenCut's ability to serve you. We are not liable for such interruptions.

5.2 Google Generative AI (Gemini / Veo)
Provider: Google LLC. Applicable to: Gemini prompt enhancement and Veo video generation.
Key terms you must be aware of:
GenCut uses Google Gemini API on Paid Services tier only. On paid tier, Google does not use your prompts or outputs to train or improve its products.
You must not submit sensitive, confidential, or personal information as prompts to any Google Generative AI model through GenCut.
You may not use Google AI services to develop models or services that compete with Google's AI offerings.
If you or your end clients are located in the European Economic Area (EEA), Switzerland, or the United Kingdom, you acknowledge that Google's use of the Paid Services tier is required for compliance with applicable data protection law. GenCut uses Paid Services tier; however, we make no warranties regarding your independent compliance obligations.
Google may disable or restrict API access at any time. We are not liable for service interruptions caused by Google.

5.3 Kling AI (Images and Video)
Provider: Kuaishou Technology Co., Ltd. Applicable to: Kling image and video generation.
Key terms you must be aware of:
Kling AI grants itself a non-exclusive, royalty-free license to use your Input and Output for purposes including promotion, service improvement, and AI model training. By using Kling-powered generation in GenCut, you consent to this license.
WATERMARK AND ATTRIBUTION REQUIREMENT: Kling AI's terms require that content generated using Kling be labeled with the 'KLING AI' brand or logo when distributed or used commercially, unless you have a specific written exemption from Kling AI. You are solely responsible for ensuring your use of Kling-generated content complies with this requirement. The Company is not responsible for any breach of this obligation by you or your end clients.
You must not use Kling-generated content to train AI models that compete with Kling AI.
Kling AI's commercial content rights apply to paid plan users. Ensure your GenCut subscription tier corresponds to the appropriate Kling commercial use tier.

5.4 Provider Availability and Changes
We may add, remove, or replace AI generation providers at any time. We will provide reasonable notice of material changes to the provider lineup. Provider-specific terms supersede these Terms where they impose stricter obligations on you. You are solely responsible for reviewing the applicable terms of each third-party provider, including any updates or changes, and for ensuring your continued compliance with such terms. The Company shall have no responsibility or liability in this regard.
6. User Responsibilities and Acceptable Use
6.1 Permitted Use
You may use GenCut solely for lawful creative and commercial video production purposes in accordance with these Terms and all applicable laws including those regarding data privacy, intellectual property rights and export control.
6.2 Prohibited Use
You agree and not permit to others to:
Submit prompts containing confidential, proprietary, sensitive personal data or any information for which you do not have a lawful basis or authorization, including state secrets, or classified information — given that prompts are transmitted to third-party AI providers
Use the Service to generate content that is illegal, defamatory, obscene abusive, misleading, or violates the rights of any third party
Generate content depicting real individuals without their explicit consent or use the Service to impersonate any person or create deceptive or misleading content, including deepfakes or synthetic media, where disclosure is required by applicable law.
Use the Service in violation of any applicable third-party AI provider's terms of service or acceptable use policy or any applicable data policies
Attempt to reverse-engineer, decompile, or extract source code from the Plugin or backend server or otherwise interfere with, disrupt, or misuse the Service or its underlying systems
Attempt to bypass authentication, credit deduction, rate limiting, or any security mechanism
Resell, sublicense, or redistribute access to the GenCut Service or the underlying API access without our written consent
Use GenCut-generated content in a manner that violates any provider-specific labeling or attribution requirements (see Section 5)
Use the Service to develop AI models or competing services based on outputs generated through GenCut or otherwise use outputs to train, develop or support competing AI systems, in violation of applicable terms
6.3 User Responsibility
The User is solely responsible for all prompts, inputs, and uses of outputs generated through the Service, and for ensuring that such use complies with applicable laws, these Terms, and any applicable third-party provider terms.
The Company is not intended to be used as storage, backup or archiving services. It is your responsibility to back up your Content and you are responsible for any lost or unrecoverable Content.
7. Generation Quality Dataset and Prompt Improvement Program
By using GenCut, you agree that we may collect and use structured data from your generation sessions to train and improve GenCut's internal AI features, including prompt enhancement, model recommendations, and tag suggestions (the "Prompt Improvement Program"), in accordance with the Company’s Privacy Policy.
7.1 What We Collect
As part of the Prompt Improvement Program, we collect and store the following data from each generation request:
The original prompt text you submitted
The enhanced prompt (if prompt enhancement was enabled)
Tags and style parameters applied to the generation
The AI model, resolution, and quality settings used
Your review decision: whether the generated output was approved or declined
Number of generation attempts made for the same prompt
A pseudonymized account identifier (linked to a user ID, not directly to your name or email)
7.2 How We Use It
This data is used exclusively by The Company to develop and improve GenCut's features. It is not sold to third parties, not shared with third-party AI providers for their model training, and not used for advertising purposes all in accordance with the Company’s Privacy Policy.
7.3 Your Consent and Right to Opt Out
Your continued use of the Service constitutes consent to this data collection under the Prompt Improvement Program, subject to the Company’s Privacy Policy. You may opt out at any time without affecting your ability to use GenCut, by either:
Navigating to Settings > Privacy > Contribute to Prompt Improvement Dataset in the GenCut plugin and disabling this option, or
Sending an opt-out request to privacy@gencut.pro
Following an opt-out request, we will stop collecting new dataset entries from your account within 24 hours. Historical entries collected prior to your opt-out will be anonymized (your pseudonymized user ID removed) within 30 days. Fully anonymized historical entries cannot be deleted as they are no longer linkable to any individual.
7.4 No Sensitive Data in Prompts
Because prompts collected under this program are stored in our dataset, you must not include sensitive personal data, confidential client information, trade secrets, or personally identifiable information as defined under applicable laws in prompts. Violation of this obligation releases the Company Ffrom any liability arising from the storage of such data in the dataset to the maximum extent permitted by applicable law.
8. Intellectual Property
8.1 Our IP
GenCut, including its plugin code, name, trademark, server infrastructure, review interface, UI design, and all associated materials, is the exclusive property of The Company and is protected by applicable intellectual property laws. Except as expressly permitted under these Terms, no rights or licenses are granted to the User in or to the Service.
8.2 Your Prompts and Outputs
You retain ownership of the prompts you submit. Ownership of AI-generated outputs is subject to the terms of the applicable third-party provider and to applicable law in your jurisdiction. The Company makes no warranties or representations regarding the copyright status, commercial usability, or exclusivity of AI-generated content. Any use of outputs is at your sole risk and subject to the applicable third-party provider terms.
8.3 License to GenCut for Prompt Improvement
By using GenCut and participating in the Prompt Improvement Program (see Section 7), you grant The Company a non-exclusive, worldwide, royalty-free license to store, process, and use your prompt data and associated generation metadata solely for the purposes described in Section 7. This license is revocable upon opt-out, subject to the anonymization timeline described in Section 7.3.
8.4 Licenses Granted to Third-Party Providers
By using GenCut, you acknowledge and accept that each third-party AI provider may claim a license to your prompts and/or outputs as described in their respective terms (see Section 5). These licenses are granted directly between you and the provider; The Company is not a party to those licenses and has no control over them. The Company shall have no responsibility or liability in connection with such licenses or the use of your data by such providers.
8.5 No IP Warranty
We make no representation or warranty that AI-generated outputs are accurate, complete, lawful, or free from third-party intellectual property claims. All outputs are generated by third-party AI providers and are not created, reviewed, or controlled by the Company. The Company shall have no liability for any claims arising from or relating to AI-generated outputs.
9. Privacy and Data Transmission
Your use of GenCut is subject to our Privacy Policy. Additionally, you acknowledge that:
Prompts you submit are transmitted to third-party AI providers' servers, which may be located outside Israel and outside the EEA
Each provider processes your prompts in accordance with their own privacy policy
On BytePlus and Kling AI, providers may retain and use your prompt data under a broad license (see Section 5)
On Google Paid Services tier, your prompts are not used for model training
You expressly consent and authorize The Company to transfer your prompts and any data contained therein as necessary to enable such interoperability to such third-party providers, including across international borders.
You are responsible for ensuring that any personal data contained in prompts you submit complies with applicable data protection law, including the Israeli Privacy Protection Law and the GDPR where applicable.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM:
Any warranty regarding the quality, accuracy, or suitability of AI-generated content produced by third-party providers
Any warranty that third-party AI provider APIs will be available, uninterrupted, or error-free
Any warranty that generated content is free of intellectual property claims
Any warranty that generated content complies with Kling AI's attribution/labeling requirements, which is your sole responsibility
Any warranty regarding provider-imposed rate limits, content moderation decisions, or API pricing changes
You acknowledge that AI-generated outputs may be inaccurate, incomplete, or misleading and should not be relied upon without independent review.
The Company does not generate content and acts solely as an intermediary between the User and third-party AI providers.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, The Company SHALL NOT BE LIABLE FOR:
Any failure, degradation, or unavailability of third-party AI provider APIs (BytePlus, Google, Kling)
Any content moderation rejection or refusal by a provider's safety systems
Any claims arising from your use of AI-generated outputs in commercial productions, advertising, or other contexts
Any intellectual property infringement claims relating to AI-generated content
Any claims arising from your failure to comply with Kling AI's attribution/labeling requirements
Any claims arising from your failure to comply with any third-party provider's terms of service
Any indirect, incidental, consequential, special, or punitive damages of any kind
The Company acts solely as an intermediary and shall have no liability for any outputs generated by third-party providers.
Our total aggregate liability for any claim arising from or related to these Terms or your use of the Service or inability to use the Service shall not exceed the amount you paid for credits in the three (3) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless The Company and its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
Your violation of these Terms or any third-party provider's terms of service
Your use of AI-generated content in commercial productions without complying with applicable provider requirements (including Kling AI's attribution obligations)
Any intellectual property infringement claim relating to prompts, inputs or content you generate or use through GenCut
Your submission of personal data or confidential information as prompts to third-party AI providers or into the Generation Quality Dataset
Any claim by your end clients relating to AI-generated content delivered through your use of GenCut
Your use of the Service
13. Modifications to the Service and Terms
We reserve the right to modify or discontinue any aspect of the Service at any time, including removing or replacing third-party AI providers. We may also update these Terms from time to time. If we make material changes, we will notify users by updating the effective date above. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause. Additionally, your access may be suspended if any third-party AI provider suspends or terminates our API access for reasons attributable to your usage. Unused credits are non-refundable upon termination for cause.
15. Waiver
Any failure or delay by the Company in exercising any right, power, or remedy under these Terms shall not constitute a waiver of such right, power, or remedy. Any waiver of a breach of these Terms shall not be deemed a waiver of any prior or subsequent breach.
16. Relationship of the Parties
Nothing in these Terms shall be deemed or construed to create any employment relationship, partnership, joint venture, agency, or fiduciary relationship between the User and the Company. The parties are independent contractors, and neither party has any authority to bind or obligate the other in any manner.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Tel Aviv, Israel.
